Privacy

We request your name and address to enable us to provide an efficient service, for sales tax purposes, market research, customising or revising the website according to your interests. We will not sell or rent your name, address or email details to any third parties. As subscribers are our most valuable asset we strive to protect their details as required by the UK Data Protection Act. We follow strict security procedures in storage and disclosure of information, to prevent unauthorised access. Our security procedures mean that we may occasionally request proof of identity before we are able to disclose sensitive information to you. We may email you occasionally to promote new items and information which we feel could be of use to you.

Terms

Usernames and passwords are for individual use only and are not to be shared. Users found to be sharing data will have their account suspended. The term "cardtoppers4crafts" or "we" refers to the owners of the website. The mailing address is Empirical Praxis Ltd, Tapton Park Innovation Centre, Brimington Road, Chesterfield S41 0TZ. The term "you" refers to the user or subscriber of our website.

Cardtoppers4crafts.com is a website that allows non-member customers to purchase images and digital media. Member customers have access to many digital images and media for download which is made available as a part of their subscription. Member customers pay a monthly fee to remain a member.

There is no quarterly or annual fee and you can unsubscribe at any time by simply contacting us.

Design examples and projects are for individual personal use only. Projects are therefore not available for commercial use without prior written consent, and project PDFs cannot be copied and sold. Other material within the website is owned by or licensed to us. This material includes, but is not limited to the design, layout, look, appearance and graphics, and all digital media available within the website. Reproduction is prohibited other than in accordance with the copyright notice, which forms part of these terms and conditions. The copyright is retained by Empirical Praxis Ltd or the designer.

Articles are written for entertainment and general information background only, and are subject to change without notice. Usage Licence

Empirical Praxis Ltd grants the following usage licence for items purchased (or downloaded from the members area):
Royalty-Free Content: Subject to the terms and conditions of this Agreement (including any applicable Invoices and Specific Content Web Pages), and regardless of the form in or media on which the Content is delivered to you (including, but not limited to electronic or online transmission, CDs or DVDs), Empirical Praxis Ltd grants You a limited, nonexclusive, perpetual and worldwide right (except as may otherwise be specified in the applicable Specific Content Web Pages and/or Invoice) to create and exploit the End Use for any purpose authorized under this Agreement. The rights granted under this Paragraph pertain only to the named purchaser or member. The licenses granted under this section are limited and are non-transferable and non-sublicensable. Only You may use the Content and the End Use must be solely for Your own use. Any right, title or interest arising in any compilation or derivative work created using any Content shall not entitle You to use any Content except as permitted hereunder. You do not acquire any copyright ownership or equivalent rights in or to any Content or any other property of Empirical Praxis Ltd or its Content sources as a result of any license Empirical Praxis Ltd grants to You. You hereby allow Empirical Praxis Ltd to use without charge Your End Use in displays and presentations for Empirical Praxis Ltd marketing purposes, solely to demonstrate how You have used the Content.

Angel Policy licence terms:

Our Angel Policy licence gives crafters the right to make and sell handcrafted cards using our downloadable images. It does not allow crafters or commercial organizations the right to use the images for creating logos clip art or creating digital images from our images to resell.

If you wish to use our images for commercial purpose such as mass producing commercial greeting cards, then please contact us to obtain permission.

Limited warrantee and disclaimer

Empirical Praxis Ltd warrants that (subject to the restrictions and limitations contained in this Agreement): the Content, as provided hereunder, and when used as authorized in this Agreement, will not infringe any copyright, trademark, moral right, right of privacy or right of publicity, or any other intellectual property right of any third party, (ii) it has sufficient rights to enter into this Agreement and grant You the rights provided herein; and (iii) the digital copy of the Content provided by Empirical Praxis Ltd to You will be free from defects in material and workmanship (but not visual artefacts inherent in the original Content) for thirty (30) days following delivery. Empirical Praxis Ltd will, as Your exclusive remedy for Your inability to use any Content as the result of such material and workmanship defects, provide You with a replacement of the digital copy of such Content or, in Empirical Praxis Ltd sole discretion, refund any fee actually paid by You to Empirical Praxis Ltd, provided You have not made any use the Content. Except as may be provided in this Section, while Empirical Praxis Ltd makes efforts to use accurate caption information, Empirical Praxis Ltd does not warrant that such information is accurate. Empirical Praxis Ltd provides You with its online system on an 'as is' basis without warranty of any kind, including warranty of continued access or availability or against interruption of service.

Empirical Praxis Ltd makes no warranties, nor shall Empirical Praxis Ltd be liable, for any claims related to or arising from Your use of Content which: (a) has been modified by You, (b) has been combined by You with other Content, products, text, content or materials, or (c) Empirical Praxis Ltd has otherwise notified You not to use prior to the beginning of the Term of the licence for the applicable Content. EXCEPT AS MAY BE OTHERWISE EXPRESSLY STATED IN THESE TERMS AND CONDITIONS, EMPIRICAL PRAXIS LTD, ON BEHALF OF ITSELF AND ITS CONTENT SOURCES MAKES NO OTHER WARRANTY, EXPRESS, IMPLIED OR STATUTORY REGARDING ANY CONTENT, ITS ONLINE SYSTEMS, OR ANY RIGHTS OR LICENSES UNDER THIS AGREEMENT INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

Limitation of Liability:

EXCEPT FOR ANY LIABILITY WHICH CANNOT BY LAW BE EXCLUDED OR LIMITED, NEITHER EMPIRICAL PRAXIS LTD NOR ANY EMPIRICAL PRAXIS LTD SUBSIDIARY, SUCCESSOR, PREDECESSOR, PARENT, JOINT VENTURE, AFFILIATE, OFFICER, DIRECTOR, EMPLOYEE, CONTRACTOR, CONTENT SOURCE, LICENSOR OR LICENSEE SHALL BE LIABLE TO YOU OR ANY OTHER THIRD PARTY CLAIMING THROUGH YOU FOR INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, STATUTORY OR CONSEQUENTIAL DAMAGES ARISING OUT OF, OR RELATING TO THIS AGREEMENT AND/OR YOUR USE OR INABILITY TO USE THE CONTENT, WHETHER FRAMED AS A BREACH OF WARRANTY OF MERCHANTABILITY, TITLE, NONINFRINGEMENT, OR FITNESS FOR A PARTICULAR PURPOSE, IN TORT, CONTRACT, FAILURE OF ESSENTIAL PURPOSE, OR OTHERWISE. IN NO EVENT SHALL EMPIRICAL PRAXIS LTD' OR ANY ITS SUBSIDIARIES', SUCCESSORS', PREDECESSORS', PARENTS', JOINT VENTURES', AFFILIATES', OFFICERS', DIRECTORS', EMPLOYEES', CONTRACTORS', CONTENT SOURCES', LICENSORS', OR LICENSEES' TOTAL AGGREGATE LIABILITY TO YOU OR ANY THIRD PARTY CLAIMING THROUGH YOU ARISING FROM THIS AGREEMENT, ITS TERMINATION OR EXPIRATION, AND/OR YOUR USE OF ANY CONTENT PROVIDED HEREUNDER, SHALL EXCEED TEN (10) TIMES THE MONETARY AMOUNT ACTUALLY RECEIVED BY EMPIRICAL PRAXIS LTD FOR THE USE OF THE APPLICABLE CONTENT. THE FOREGOING LIMITATIONS ARE APPLICABLE NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE.

Your Indemnification of Empirical Praxis Ltd: You agree to indemnify and hold harmless Empirical Praxis Ltd and its Content sources, officers, directors, employees, contractors, subsidiaries, joint ventures, licensors and licensees against all claims (including, without limitation, claims by third parties), liability, damages (including punitive damages), judgments, settlements, costs and expenses, including reasonable legal fees and expenses, arising out of or related to (i) Your breach of any terms, conditions or restrictions of this Agreement (including the terms, conditions and restrictions identified on the Invoice(s) and Specific Content Web Pages), (ii) Your use or modification of any Content, or combination of any Content, with any text or other content, (iii) Your failure to obtain from third parties all permissions necessary to use the Content, (iv) Content which Empirical Praxis Ltd has otherwise notified You not to license or otherwise use prior to the beginning of the Term of the license for such Content; and (v) any act or failure to act by You or any of Your employees, contractors, Employers, agents, clients, Principals, or Users.
